You're going to want to use corporations (either LLC or PLC) to jointly have ownership. If you don't already have a corporation you'll want to form one. It's this professional corporation that will be the entity that has ownership in the entity (another corporation) that wholly owns the medical spa or clinic. (I'll have to write a few posts on this since it's a fairly common question.)

Thank you for your reply. I was hoping to get your input on another question. What do you think would be a fair percentage for the doc to take of what I bring in in exchange for using space, equipment, marketing, and access to existing patient base? Thanks for your thoughts!
I'd recommend your corporation be an MSO (Medical Service Organization) that is licensed by the physician to provide spa and management services. Each state is different and you should research what your state Board of Medicine allow regarding medical spa ownership.
Totally lost on how to go about structuring this. Here is the scenario: I have an MD that bought an existing Medspa and is also thinking of adding a med spa to his existing family practice location. No buildouts are necessary. I am a NP that would come on board to do some procedures and maybe some marketing/management. He would not work the spas at all. Any ideas on how to structure the ownership agreeemnt for this??
